BYLAWS
Name: The name of this association WILL [shall once filed] be the Alumni Association Network, LLC; hereby known as AAN.
Purpose: AAN's purpose is to promote the common educational interests of its institutional members' scholastic practitioners.
Mission: Forming a Central Hub of Alumni Associations to Ensure Scholars are Receiving Quality Care Before and After Graduation
Vision: To facilitate strategic alliances and joint ventures between alumni associations, universities, and corporate and government entities throughout the world by uniting alumni through scholarly research and initiatives
Our Values: As an Association and as a Scholar, We Value:
- Integrity and honesty
- Passion for students and graduates
- Accountability to alumni for commitments, results, and quality
Intellectual Property Rights: All patents, copyrights, or other intellectual property created by Brigette's Technology Consulting and Research Firm, the parent company, and employed by AAN shall remain the property of Brigette's Technology Consulting and Research Firm. All patents, copyrights, or other intellectual property created by any partner, staff support, volunteer leader, or member and employed by AAN shall remain the sole property of AAN.
Organizational Structure: Responsibilities are listed under each position (i.e., Advisory Board; Senior Officers; Officers; Committee Directors)
- Internal Structure: Limited Liability Corporation (LLC) Members, Staff Support,
Volunteer Leadership, and Volunteer Staff - External Structure: Sponsors and Institutional Members
Amendments: These Bylaws may be amended by resolution adopted by the Advisory Board, subject to ratification by a general meeting of the Partners.
Indemnification: Directors and junior officers of the AAN shall be indemnified, defended, and held harmless from and against any and all costs and expenses (including attorneys' fees), judgments, fines, and amounts paid in settlement to the fullest extent now or hereafter permitted by law in connection with any actual or threatened action or proceeding (including civil, criminal, administrative or investigative proceedings) arising out of their service AAN or to another organization or enterprise at the AAN request.
